Terms and Conditions
Last updated: October 2, 2026
Effective for new members and visitors: October 2, 2026
Effective for existing members: November 2, 2026. Until then, members who joined before October 2, 2026 remain under our previous Terms of Service (May 18, 2018), available at https://halfsizeme.com/disclaimers-terms-of-service-2018.
Welcome, and thank you for your interest in Half Size Me. These Terms of Service (“Terms”) are a legally binding agreement between you and HALF SIZE ME MEDIA, LLC, a Florida limited liability company (“Half Size Me,” “we,” “us” or “our”).
These Terms cover https://halfsizeme.com (the “Site”) and everything we offer through it or in connection with it, including the Half Size Me Show podcast, Podcast Premium, the HSM Academy membership, workshops and other live or recorded programs, one-on-one coaching, forums and community spaces, emails, blogs and broadcasts (together, the “Services”). “You” means anyone who uses the Services, whether or not you register or buy anything.
By accessing or using the Services, or by buying a membership, program or coaching package, you agree to these Terms and to our Privacy Policy. If you are acting for a company or other organization, you agree on its behalf and confirm you have authority to do so. If you do not agree, do not use the Services.
Some Services have additional terms (for example, a program’s sign-up page or the terms of our payment processor). If additional terms conflict with these Terms, the additional terms control for that Service.
PLEASE READ SECTION 34 (DISPUTE RESOLUTION) CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, WAIVES CLASS ACTIONS AND JURY TRIALS, AND EXPLAINS HOW YOU CAN OPT OUT WITHIN 30 DAYS.
Important Disclaimers
A. General. Opinions expressed in our podcasts, programs, coaching, forums, blogs, emails and broadcasts belong to the hosts, guests and participants who express them. Make your own decisions based on your full circumstances, not on our content alone.
B. Not medical advice. All content and Services are for general educational and informational purposes only. They are not a substitute for professional medical advice, diagnosis or treatment, and they do not create a doctor–patient or other healthcare relationship. Talk with your physician or another qualified health provider before starting any diet, exercise, fasting or weight-management program, and before changing any medication. Never ignore professional medical advice or delay seeking it because of something you heard or read through the Services.
C. Coaching is not therapy or healthcare. Our hosts and coaches are not licensed physicians, nurses, dietitians, nutritionists, physical therapists, personal trainers or mental-health professionals. Coaching and community support are not psychotherapy, counseling, nutrition therapy or medical care.
D. Medications. Discussions of weight-loss or other medications (for example, GLP-1 medications) share personal experiences and general information only. We do not prescribe, recommend or dose any medication. Decisions about medications belong to you and your prescriber.
E. Eating disorders. Our Services are not designed to treat eating disorders. If you have, or think you may have, an eating disorder, please seek care from a qualified professional. The National Alliance for Eating Disorders operates a helpline staffed by licensed therapists.
F. Emergencies. Our Services are not for emergencies. If you think you may have a medical emergency, call 911 or your local emergency number right away. If you are in crisis or thinking about harming yourself, call or text 988 (the Suicide & Crisis Lifeline in the U.S.).
G. No guaranteed results. Weight loss and health outcomes vary from person to person and depend on many factors, including genetics, health conditions, medications and effort. Stories, testimonials and results shared by our hosts, guests, members or clients are individual experiences, are not typical, and do not mean you will get the same results. We make no promise or guarantee of any particular result.
1. Eligibility
You must be at least 18 years old, and of legal age to form a binding contract where you live, to create an account, join the community, or buy any Service. The Services are not directed to children under 13, and we do not knowingly collect personal information from them.
2. The Services
- We may add, change, suspend or discontinue any part of the Services at any time. If we discontinue a paid Service you have prepaid for, we will offer a prorated refund for the unused portion or a comparable substitute.
- New features and changes are covered by these Terms.
- Software, apps or services provided by you or a third party (for example, your podcast app or payment provider) are not part of the Services.
3. Podcasts and Podcast Premium
- Our free podcast episodes are for your personal, non-commercial use. You may download and listen to them on your own devices, but you may not modify, re-upload, resell or publicly redistribute them.
- Podcast Premium is a paid listener membership offered through Supercast, with payments processed by Stripe. Its billing, renewal and cancellation are handled under that platform’s terms, which apply in addition to these Terms. Premium content is for the subscriber’s personal use only and may not be shared, posted or redistributed.
4. Accounts and Registration
- Some Services require an account. When you register, you may provide information such as your name, email address, phone number and payment details (“Your Information”).
- You agree to give true, accurate, current and complete information, not to impersonate anyone, and to keep Your Information up to date.
- Our Privacy Policy explains how we collect, use and share Your Information.
5. Account Security
- You are responsible for keeping your login credentials secure and for activity in your account. Accounts are personal; do not share them. Tell us right away at support@halfsizeme.com if you believe your account has been accessed without permission.
- We may send notices to the email address or phone number on your account. Keep your contact and payment details current.
6. Purchases and Our Payment Processors
- HSM Academy memberships and certain other purchases are processed by FastSpring, which acts as the authorized reseller and merchant of record. FastSpring’s terms of sale and privacy policy also apply to those transactions, and charges may appear on your statement under FastSpring’s name. Podcast Premium is sold through Supercast, with payments processed by Stripe. One-on-one coaching and workshop payments are processed by PayPal. Each provider’s own terms and privacy policy also apply to payments it processes, and we do not store your full card details.
- By giving a payment method, you confirm you are authorized to use it and you authorize us and our processor to charge it for your purchase, including recurring charges you agree to at checkout.
- Keep your payment information current. If a payment fails and is not updated, we may suspend or cancel your access.
7. HSM Academy Membership: Automatic Renewal and Cancellation
a. Automatic renewal. HSM Academy is a continuous subscription. When you join, you agree that your membership automatically renews at the end of each billing period (monthly, every three months, or yearly, depending on the plan you choose at checkout) and that your payment method will be charged the price shown at checkout for each period until you cancel. Price, billing frequency and cancellation instructions are shown before you buy, and you must give your express consent to these terms at checkout. We send a confirmation email that includes these terms and how to cancel.
b. How to cancel. You can cancel online at any time, without contacting us, by signing in to Manage HSMA Account and selecting cancel. The same portal lets you update your payment method, change your plan, or pause billing for one billing cycle instead of cancelling. Pausing is optional; you never have to pause or review an offer before you can cancel. You may also email support@halfsizeme.com asking to cancel, and we will cancel your membership for you and reply to confirm. Cancellation takes effect immediately for future billing; you will not be charged again. You’ll receive a confirmation email when your cancellation is complete. If you don’t receive one, your membership may still be active. Deactivating or deleting your HSM Academy community profile does not cancel your membership or stop billing. To stop future charges, cancel in the Manage HSMA Account portal or email support@halfsizeme.com.
c. After you cancel. You keep access until the end of the billing period you have already paid for. If you rejoin later, you will join at the then-current price, and you may need to wait until enrollment is open.
d. Reminders. We email members about one week before each renewal charge with the renewal date, price, and how to cancel or pause.
e. Annual or multi-month plans. If your plan has a term of one year or longer, we will email you 30 to 45 days before it renews with the renewal date, price and how to cancel.
f. Price changes. If we change the price of your membership, we will email you at least 30 days before the new price applies, along with how to cancel. If you do not cancel before then, the new price applies from your next renewal. Members may pay different rates depending on when they joined. Changes to the price for new members do not affect the rate you pay while your membership stays active; if you cancel and later rejoin, the then-current price applies.
g. Marketing emails. Cancelling your membership does not unsubscribe you from marketing emails. Use the unsubscribe link in any email to stop them.
8. HSM Academy Refunds
- First-time members: if you are joining HSM Academy for the first time, on any plan, you may request a full refund within 30 days of joining, for any reason. On a three-month or annual plan, if you request a refund after those 30 days, we will refund a prorated amount for the unused days remaining in your current term. Email support@halfsizeme.com to request a refund.
- Returning members and later payments: renewal payments and payments by returning members are non-refundable, except where the law requires a refund. Cancelling stops future charges.
- We would always rather fix a problem, so please let us know if something isn’t working for you.
- Unexpected renewal charges. When you cancel, you will receive a cancellation confirmation email. Please keep it for your records. If you are charged after you believe you cancelled, contact us at support@halfsizeme.com as soon as possible. We will cancel your membership right away and refund the most recent charge.
- Earlier charges. We email you before every renewal charge, and each charge appears on your card or bank statement. You agree to review these and tell us about any charge you don’t recognize or didn’t intend within 60 days of the charge.
- No cancellation record. If there is no record that you cancelled or asked to cancel (see item 3), we will refund only the most recent renewal charge. Earlier charges are not refundable.
- Cancellation record. If you have a cancellation confirmation email, emailed us asking to cancel, or our records show you tried to cancel and our system did not process it, we will refund every charge made after that date. Charges from the past 6 months are refunded to your original payment method. For older charges that our payment processor can’t refund, we will refund you another way, such as by PayPal or check, or by membership credit if you prefer.
- What counts as a record. A cancellation or cancellation request counts if it appears in our records, or if you can send us a copy of it, such as the cancellation confirmation email or the email you sent to support@halfsizeme.com showing its date. Requests sent other ways, such as social media or community messages, may not reach us, so please cancel in the Manage HSMA Account portal or email support@halfsizeme.com.
- Goodwill credits. In situations not covered above, we may, at our discretion, offer a partial refund, free membership time, or both. Any goodwill credit is offered once, does not change these Terms, and does not mean a larger refund was owed.
9. Workshops and Live Programs
- Workshops and other live or time-limited programs (for example, From Frustration to Freedom) are sold for the dates, format and access period shown on their sign-up page.
- Refunds: Full refund if requested at least 30 days before the program starts. Requests made less than 30 days before the start, or after it starts, are not refundable.
- If we cancel or reschedule a live session, we will offer a recording, a new date, or a refund for the affected portion.
- Replays and materials are for your personal use and are available for the access period stated at purchase.
10. One-on-One Coaching
- What coaching is. Coaching is a partnership to help you set realistic goals around eating, fitness, mindset and healthy living, take action toward them, and learn from what works and what doesn’t. Your coach is not a therapist, doctor, nurse, nutritionist, dietitian, physical therapist or personal trainer. Anything that falls into those areas should be addressed by a qualified professional, and your coach may suggest where to find one. Coaching is also subject to the disclaimers at the top of these Terms.
- Packages. Coaching packages include the number and length of sessions stated at purchase. Your first one or two sessions cover your history, including weight-loss history, support, medical conditions and goals, before we begin planning. Sessions must be used within 6 months of purchase unless we agree otherwise.
- Communication. Between sessions, your coach responds to messages Monday through Friday, 8 a.m. to 6 p.m. Eastern, usually within 24 hours. Messages sent on weekends are answered the following Monday. Your coach takes periodic vacations. During those times, messages go to our team and are answered within the week after your coach returns.
- Arriving late. Sessions start at the scheduled time. If you are late, your session ends at its scheduled end time. If your coach is late, you still receive your full session.
- Missed sessions. If you do not answer at your scheduled time, your coach will try to reach you two more times within the first 15 minutes. If there is still no answer, the session is forfeited. Please give us a backup phone number in case of technical problems.
- Rescheduling. You may reschedule a session for any reason with at least 7 days’ notice. With less than 7 days’ notice, the session is forfeited. However:
- Once during your coaching package, you may reschedule a session for an emergency at no charge, even with short notice; and
- Otherwise, you may reschedule a late-cancelled session for a $100 fee, subject to availability.
- Refunds. Coaching packages are fully refundable before your first session and non-refundable after it. Forfeited sessions are not refundable.
- Coaching Guidelines. Our Coaching Guidelines, provided when you sign up, describe how coaching works in more detail and are part of these Terms. If they conflict with these Terms, these Terms control.
11. Orders
Your order is an offer to buy. We may accept or decline an order, and we may cancel an order if a product is no longer available or was listed with an obvious pricing or description error. If we cancel after charging you, we will refund you in full.
12. Prices and Taxes
- Prices are in U.S. dollars unless stated otherwise.
- Applicable taxes are added at checkout or included as shown.
- We may change prices for new purchases at any time. Price changes for existing memberships follow Section 7(f).
13. Acceptable Use
- Your right to use the Services is personal and non-transferable. Use them only for lawful purposes and as these Terms allow.
- You agree not to:
- sell, resell, license, rent, share or otherwise commercially exploit the Services or any account access;
- copy, modify, record, re-post or distribute our content except as Section 19 allows;
- use bots, scrapers, crawlers or other automated tools to access, copy or monitor the Services, or use our content to train artificial-intelligence or machine-learning models, without our written permission;
- reverse engineer the Services, bypass access controls, or probe or test their security;
- upload viruses or malicious code, or place an unreasonable load on our systems;
- collect personal information about other members;
- use the Services or member contact details to advertise, solicit or sell anything without our written permission; or
- access the Services to build a competing product.
- Community areas may contain member posts that are inaccurate or that you find upsetting. We are not responsible for content posted by other members.
- Standard carrier message and data rates may apply when you use the Services on a mobile device.
14. Community Guidelines
We want the Half Size Me community to be welcoming, honest and supportive. Everyone who participates agrees to follow our Community Guidelines, which are part of these Terms. In particular:
- Respect other members’ privacy. What members share in private groups stays there.
- Do not give other members medical, dietary or medication advice as if you were their provider.
- Do not promote content that encourages disordered eating, unsafe weight-loss practices or self-harm.
15. Suspension and Termination
- We may limit, suspend or end your access if you break these Terms or the Community Guidelines, create legal risk for us, or disrupt the Services for others. We may also suspend access while we investigate suspected misconduct. We will try to keep any limit no broader or longer than needed.
- If we end a paid membership because you broke these Terms, you are not entitled to a refund. If we end it for any other reason, we will refund the unused portion of your current billing period.
- You may stop using the Services at any time. Sections that by their nature should survive (for example, ownership, disclaimers, limits on liability, indemnity and dispute resolution) survive termination.
16. Accuracy of Information
We try to keep information on the Services complete and current, but it may sometimes contain errors, omissions or outdated information. We may correct errors and update information at any time, and may cancel orders placed at an incorrect price as described in Section 11.
17. Ownership
Half Size Me and its licensors own all rights, title and interest in the Services, including all podcasts, programs, courses, worksheets, videos, text, graphics, software and the selection and arrangement of that content (“Our Content”). These Terms do not transfer any ownership to you. All rights not expressly granted are reserved.
18. Trademarks
“Half Size Me,” “HSM Academy,” our logos and other program names are our trademarks. You may not use them without our written permission. Third-party names and marks belong to their owners, and their appearance does not mean they endorse us.
19. Your License to Use Our Content
We give you a limited, personal, non-exclusive, non-transferable, revocable license to access, stream, download and print Our Content for your own non-commercial use, as long as you keep any copyright notices. You may not copy, record, share, sell, publicly display or create derivative works from Our Content, or give your access to anyone else.
20. Your Content
- What it is. “User Content” means anything you post or submit through the Services, including forum posts, comments, messages, photos, profile information, reviews, questions sent to the podcast, and feedback.
- You keep ownership. You own your User Content. You confirm that you have the right to post it, including permission from anyone who appears in it.
- License to us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, display, format and share your User Content as needed to operate and improve the Services, including showing it to the members and audiences of the area where you posted it. If you send a question or story for use on the podcast or in our programs, you also allow us to read, discuss and publish it there, and we will not use your full name unless you tell us we may.
- Testimonials and photos. We will not use your name, photos, before-and-after images or personal story in advertising or marketing without your separate, express permission. You can withdraw that permission for future uses at any time.
- Privacy in the community. Be careful what personal and health information you share. Other members can see what you post, and they may copy it even though our guidelines forbid sharing it outside the community. User Content is not confidential.
- Our rights. We may remove, edit for length or clarity, or decline to post any User Content at any time. We are not responsible for User Content and do not endorse it.
- Back-ups. Keep your own copy of anything you value. We are not responsible for lost User Content.
- Prohibited content. You may not post content that:
- impersonates anyone;
- stalks, harasses, bullies, threatens, defames or abuses anyone;
- is false or misleading, or promotes illegal activity;
- promotes violence, hatred or discrimination against any person or group;
- is sexually explicit, or exploits or endangers minors;
- promotes disordered eating, self-harm or dangerous weight-loss practices;
- contains images, audio or video of another person without their permission;
- infringes anyone’s copyright, trademark, privacy or other rights;
- contains viruses or malicious code; or
- advertises or solicits business, contests or sales.
21. Copyright Complaints (DMCA)
We respect intellectual property rights and respond to valid notices under the Digital Millennium Copyright Act (17 U.S.C. § 512). We may remove allegedly infringing content and terminate repeat infringers.
To report infringement, send a written notice via email to support@halfsizeme.com that includes:
- a physical or electronic signature of the copyright owner or a person authorized to act for them;
- identification of the copyrighted work;
- identification of the allegedly infringing material and where it appears on the Services;
- your contact information (address, phone number and email);
- a statement that you believe in good faith the use is not authorized by the copyright owner, its agent or the law; and
- a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner.
If you knowingly misrepresent that material is infringing, you may be liable for damages, including costs and attorneys’ fees.
22. Sponsorships and Affiliate Links
Some podcast episodes, emails and pages may include paid sponsorships, advertisements or affiliate links. When you buy through an affiliate link or use a sponsor code, we may earn a commission or other compensation at no extra cost to you. We identify sponsored content and recommend only products we believe may be useful, but a sponsorship is not a medical recommendation. Review any product with your healthcare provider before using it.
23. Third-Party Sites and Services
The Services may link to or integrate with third-party websites, apps and services, such as podcast platforms, payment processors and video tools. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms and privacy policies.
24. Electronic Communications and Text Messages
- By using the Services, you agree that we may communicate with you electronically, including by email and by notices posted on the Services, and that electronic notices satisfy any legal requirement that communications be in writing.
- We send marketing text messages only if you separately opt in to receive them. Message frequency varies, and message and data rates may apply. Reply STOP to opt out or HELP for help. Consent to texts is not a condition of any purchase.
- You can unsubscribe from marketing emails at any time using the link in each email. We may still send account and transaction messages.
25. Electronic Transactions
You agree that clicking to accept, checking a box or completing a purchase online is your electronic signature and shows your intent to be bound, with the same effect as a handwritten signature. You are responsible for the devices and software you need to access and keep your records.
26. Social Media
If you interact with us through Facebook, Instagram, YouTube or other social platforms, or sign in using one of them, we may receive information that you allow those platforms to share. We handle that information under our Privacy Policy. Your activity on those platforms is also governed by their terms.
27. Security
You may not violate or attempt to violate the security of the Services, including by accessing data or accounts not meant for you, probing or testing for vulnerabilities, monitoring traffic, or interfering with service to any user. Violations may lead to civil or criminal liability, and we may cooperate with law enforcement in investigating them.
28. Privacy and Law Enforcement
- Our Privacy Policy explains how we collect, use and protect your information, including any health-related information you choose to share. By using the Services, you acknowledge it.
- We disclose account information to government agencies only when legally required, after reviewing the request. We may also disclose information without a subpoena in an emergency when we believe in good faith that it is necessary to prevent death or serious physical injury, as permitted by 18 U.S.C. § 2702, and we will limit disclosure to what is needed.
29. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, PROGRAMS AND COACHING ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HALF SIZE ME AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS (THE “HALF SIZE ME PARTIES”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR NEEDS OR PRODUCE ANY PARTICULAR HEALTH OR WEIGHT-LOSS RESULT, OR THAT THEY WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF VIRUSES. YOU USE THE SERVICES AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
30. Limitation of Liability
- TO THE FULLEST EXTENT PERMITTED BY LAW, THE HALF SIZE ME PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS (US $100).
- WE ARE NOT LIABLE FOR DELAYS OR FAILURES CAUSED BY EVENTS BEYOND OUR REASONABLE CONTROL, SUCH AS INTERNET, POWER OR EQUIPMENT FAILURES, NATURAL DISASTERS, STORMS, LABOR DISPUTES, WAR, GOVERNMENT ACTION OR FAILURES OF THIRD-PARTY PROVIDERS.
- THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.
- To the extent permitted by law, any claim arising out of or related to the Services must be filed within one (1) year after it arises, or it is permanently barred.
31. Indemnity
You agree to defend, indemnify and hold harmless the Half Size Me Parties from third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of (a) your User Content; (b) your violation of these Terms, the Community Guidelines or any law; or (c) your violation of anyone else’s rights, including intellectual property, privacy or publicity rights. We may take over the defense of any such claim at our own expense, and you agree to cooperate.
32. Release and Assumption of Risk
- You understand that changing your diet, activity or habits carries inherent risks, and that you are responsible for deciding, with your healthcare providers, whether any approach discussed in the Services is right for you. You voluntarily assume those risks.
- To the fullest extent permitted by law, you release the Half Size Me Parties from claims arising out of your use of the Services, your reliance on any content, or disputes with other members, except claims arising from our gross negligence, willful misconduct or fraud, or claims that cannot be released by law.
- If you are a California resident, you waive California Civil Code § 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
33. Governing Law and Venue
- These Terms and any dispute between you and us are governed by the laws of the State of Florida and applicable federal law, including the Federal Arbitration Act, without regard to conflict-of-laws rules.
- Disputes are resolved by arbitration under Section 34. Any dispute that is not arbitrated (including small-claims cases, claims excluded from arbitration, or claims by anyone who opts out) must be brought only in the state or federal courts located in Polk County, Florida, and you and we consent to their personal jurisdiction.
- Either party may seek a temporary restraining order or injunction in those courts to stop infringement or misuse of intellectual property or unauthorized access to the Services.
34. Dispute Resolution and Arbitration
a. Try to resolve it first. Before starting arbitration or a lawsuit, the party with a claim must send the other a written notice describing the claim and the relief requested. Send notices to us at support@halfsizeme.com and 3616 Harden Blvd. PMB 237, Lakeland, FL 33803; we will send notices to the email on your account. We each agree to try in good faith to resolve the dispute informally for 60 days after the notice is received.
b. Agreement to arbitrate. If the dispute is not resolved within 60 days, you and we agree that any dispute, claim or controversy arising out of or relating to these Terms, any prior version of them, or the Services will be resolved by final and binding individual arbitration, not in court, except as stated below.
c. Exceptions. Either party may (i) bring an individual claim in small-claims court if it qualifies, and (ii) seek relief under Section 33(c) for intellectual property or unauthorized access.
d. Rules and fees. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by these Terms. Payment of filing, administrative and arbitrator fees will follow those rules, and we will pay any fees the rules assign to the business. The arbitration may take place by video, by phone, on written submissions, or in person in the county where you live, as you prefer. The arbitrator may award the same individual relief a court could, applying Florida law, and decides questions about the scope and enforceability of this Section, except as stated in subsection (f).
e. Class action and jury trial waiver. YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR AWARD RELIEF TO ANYONE OTHER THAN THE INDIVIDUAL PARTY. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.
f. If the waiver is unenforceable. If a court finds the class action waiver unenforceable for a particular claim, that claim (and only that claim) will be decided in court under Section 33(b), not in arbitration. A court, not an arbitrator, decides whether the class action waiver is enforceable.
g. Mass filings. If 25 or more similar arbitration demands are filed against us by the same or coordinated counsel, the AAA’s mass-arbitration procedures will apply, and the parties agree the cases may be resolved in staged batches.
h. 30-day right to opt out. You may opt out of this arbitration agreement by emailing support@halfsizeme.com within 30 days after you first accept these Terms, with the subject line “Arbitration Opt-Out” and your name and account email. Opting out does not affect any other part of these Terms.
i. Changes to this Section. If we make a material change to this Section, the change will not apply to any dispute you notified us of before the change takes effect, and you may reject the change by emailing us within 30 days of it taking effect, in which case the prior version continues to apply to you.
35. Notice to California Residents
Under California Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
36. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms here and change the “Last updated” date. If a change is material, we will also notify you by email or through the Services at least 14 days before it takes effect. Changes apply going forward and do not affect disputes already in progress. If you do not agree to a change, stop using the Services and cancel any membership before it takes effect; continuing to use the Services after that means you accept the updated Terms.
37. Severability
If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms will remain in effect.
38. No Waiver
Our failure to enforce any provision is not a waiver of our right to enforce it later. A waiver is effective only if it is in writing and signed by us.
39. Assignment
You may not transfer your rights or obligations under these Terms. We may transfer ours in connection with a merger, sale of assets or similar transaction, or to an affiliate.
40. Entire Agreement and Contact
These Terms, the Privacy Policy, the Community Guidelines and any additional terms shown when you buy a specific Service are the entire agreement between you and us about the Services, and replace any earlier agreements on the same subject.
